1. Disclaimer of agency and employer status
Vertgigs is a neutral listing platform. We are not a talent agency, staffing agency, employer, or employment agency. Talent listed on Vertgigs are independent contractors, not employees of Vertgigs or of any studio listed. We do not represent, endorse, guarantee, or warrant any talent or studio. Talent and studios contract directly with each other. Vertgigs is not a party to any agreement between talent and a studio.
2. Adults only / No minors policy
The Vertgigs platform is available only to individuals 18 years of age or older. We do not knowingly collect information from or provide services to minors. Gig posters may not post opportunities requiring performers under 18 years old. If we discover that a user is under 18, we will terminate their account immediately.
3. Audition fees prohibited
Vertgigs prohibits the charging of audition fees to talent in compliance with California Labor Code Section 1700.44(b) and industry best practice. Any gig post that requires talent to pay a fee to audition will be removed without refund.
4. No commission at launch
Vertgigs operates on a subscription and per-post fee model only. We take no commission on any deal, contract, or payment completed between talent and a studio. This may change in a future version, at which point users will receive 30 days advance notice.
5. IP license grant
By posting content on Vertgigs (profile content, reel, credits, bio), you grant Vertgigs a non-exclusive, worldwide, royalty-free license to display, distribute, and promote your content within the platform and in Vertgigs marketing materials. This license does not include: sublicensing to third parties; using your content to train machine learning models; or repurposing your content outside of Vertgigs promotion. You retain full ownership of your content.
6. FTC disclosure and sponsored content
All sponsored gig posts or paid promotions on Vertgigs must clearly disclose the commercial relationship. Vertgigs reserves the right to append disclosure language to any post that appears to be a sponsored commercial promotion without adequate disclosure.
7. Payment terms
Subscription fees are charged monthly via Stripe. Per-post fees are charged at the time of posting. All fees are non-refundable once a post goes live or a subscription period begins, except as required by law. Stripe Connect is used for any peer-to-peer payments on the platform; Stripe's terms and privacy policy apply to those transactions.
8. Account suspension and termination
We may suspend or terminate your account for: violation of these Terms; posting false or misleading information; harassment or abuse of other users; non-consensual intimate imagery; fraud; or any illegal activity. Suspension decisions are made at our sole discretion. Appeals can be sent to [email protected].
9. DMCA repeat-infringer policy
Vertgigs has registered a designated DMCA agent with the U.S. Copyright Office. Users who receive three valid DMCA takedown notices will have their account terminated. To submit a DMCA notice or counter-notice, email [email protected] with the required information under 17 U.S.C. Section 512.
10. Indemnification
You agree to indemnify, defend, and hold harmless Vertgigs, its affiliates, and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the platform.
11. Limitation of liability
To the maximum extent permitted by law, Vertgigs' total liability for any claim arising from or relating to these Terms or the platform is limited to the greater of (a) $100 or (b) the total amount you paid to Vertgigs in the 12 months preceding the claim. Vertgigs is not liable for any indirect, incidental, special, consequential, or punitive damages.
12. Arbitration and class action waiver
PLEASE READ THIS SECTION CAREFULLY. Any dispute arising out of or relating to these Terms or the platform will be resolved by binding individual arbitration under JAMS rules, not in court, except for claims eligible for small claims court. YOU AND VERTGIGS WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION. This arbitration agreement does not apply to claims related to sexual harassment or sexual assault.
13. Events hosting addendum
Vertgigs is a listing platform for user-hosted events only. Vertgigs is never a co-organizer, sponsor, or responsible party for any event listed on the platform. Event hosts must carry their own commercial general liability insurance (minimum $1M per occurrence / $2M aggregate for in-person events with more than 30 attendees). By creating an event listing, you acknowledge and accept full responsibility for the event, including safety, compliance with local laws and permits, and attendee welfare.
14. Governing law
These Terms are governed by the laws of the State of California without regard to conflict of law provisions. For disputes not subject to arbitration, exclusive jurisdiction is in the courts of Los Angeles County, California.
